POSITION SUMMARY
The individual in this role oversees the multiple corporate legal functions including managing SEC filings, material disclosure. This individual will also manage the contract group, focusing on the negotiation and execution of a wide range of company contracts. This role will also lead the continuous improvement of the contracts management system, driving efficiencies and improving the legal and business team experiences. The individual will work with the business owners, the Legal team, and outside counsel to manage the legal aspects of the contracts program. This role will report to the SVP, Legal. This is a hybrid role that will require 3 days in the office (2 core days and 1 flex day). We are moving to 4 onsite days per week in the near future.
ESSENTIAL DUTIES AND RESPONSIBILITIES
- Act as the primary in-house legal reviewer for the company's 10-K, 10-Q, 8-K, proxy statements and Section 16 filings; advise on other disclosure matters and securities law compliance issues
- Manage SEC related corporate compliance such as trading clearance requests and blackout windows
- Financing: collaborate with leadership, the Finance Department and external counsel in support of financing activities, including preparing transaction-related documents and providing due diligence support
- Lead the drafting, review, interpretation, negotiation, and execution of day-to-day, high-risk vendor-based agreements such as master services agreements, supply/purchase agreements, consulting agreements, clinical agreements and material transfer agreements while appropriately engaging the Legal team or outside counsel for complicated agreements, terms, or negotiations
- Serve as liaison between outside counsel and business owners for high-risk/high-value transactions and escalate appropriate issues for senior-level decision-making
- Partner with business owners to obtain and incorporate business input on business issues raised by the contract, advising business owners of potential risks and discussing mitigation options and otherwise drive contract negotiations to completion
- Develop and maintain an alternative language library to facilitate quick turnaround of contracts
- Assist the Legal team with complicated or strategic transactions, corporate compliance, or other areas of law where legal support is required
REQUIREMENTS
Education
- US JD from an accredited law school or foreign law degree with a US LLM
- Admitted to at least one US state BAR
Experience
- A minimum of ten years + of combined SEC reporting and contract experience; candidates with more experience strongly preferred
- A minimum of seven years + of experience in biotech or pharmaceutical industry
- Proven experience negotiating all types of vendor-based and other company agreements
Licenses or Certifications
- US law degree (LLM or JD)

The target salary range for this full-time role is $291.000 - $350,000 annually + bonus + equity + benefits. Structure Therapeutics determines salary ranges based on level and scope of responsibilities, as well as location. Individual pay is further determined by additional factors, including relevant experience, specific job skills, education and training.
